DE Court Says “To the Left, To the Left” with Appraisal Rights Claims in Manti Holdings
In Manti Holdings, LLC v. Authentix Acquisition Co., the Delaware Supreme Court affirmed the use of stockholders’ agreements to waive stockholders’ rights of appraisal under Section 262 of the Delaware General Corporation Law. While the Manti Holdings decision further highlights Delaware's strong policy in favor of freedom of contract and private ordering, it also raises questions around whether certain other key statutory rights may be waived by private contract.
