Georgia 2022 Court Decisions Provide New Insight on Business Entity Law

By Eric Geringswald | CSC

Business and legal professionals practicing in Georgia have to stay on top of business case law to successfully manage their entities and complete transactions. A missed case could result in an incorrect application of the statute, which could jeopardize a deal or put an entity’s good standing at risk.

The 2022 edition of CSCPublishing’s Georgia Laws Governing Business Entities Annotated features more than a dozen new case notes summarizing recent judicial interpretations of the law from state and federal courts added since the previous edition. Also included are four full-text cases exploring recent legal developments regarding formation of a partnership, alter ego doctrine, professional corporations, and the apex-deposition doctrine. A Table of New Annotations lists all new cases, and gray bars are included beside each new case note in the body of the book for quick identification.

Georgia Title 14

The 2022 edition includes all Title 14 (Corporations, Partnerships and Associations) and related sections from other titles updated with statutory changes made during the 2022 Georgia legislative session. To make the book even more useful, the Georgia Uniform Securities Act has been added.

More than 50 business forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all Georgia entity types are available on the LexisNexis® Store online download center. A listing of the forms can be found in the book’s appendix. An up-to-date fee schedule provide a snapshot of fees for Georgia filings.

The book’s expansive index, sequential pagination, and page tabs make finding the information quicker and easier, while larger pages and a clean typeface enhance readability. As with CSC’s other annotated statutory collections, Georgia Laws Governing Business Entities Annotated is also available as an ebook and is part of the LexisNexis® Digital Library.

These features, together with the up-to-date annotated business entity legislation for the state, make this publication a valuable resource for the legal and business communities in Georgia and the surrounding region.
